1.0 Company Overview

1.1 Overview

Intuitive Machines (NASDAQ: LUNR) is a space infrastructure and services company established in 2013 with the central aim of enabling sustained infrastructure and human activity beyond Earth. The Company works from the view that the United States is shifting away from occasional, one-off space missions toward long-duration operations and a persistent presence in space, and it is developing the systems and services needed to support that shift across the civil, national security, and commercial markets.

Its work spans three linked capabilities: Intuitive Machines builds spacecraft, connects space-based networks, and operates infrastructure on an as-a-service basis, supporting operations across low Earth orbit (“LEO”), geostationary orbit (“GEO”), cislunar space (the region between the Earth and the Moon), and deep space. The Company’s strategy is to move space activity beyond single-mission execution toward continuously operating infrastructure by pairing spacecraft delivery with network connectivity and long-term operations an approach management believes positions Intuitive Machines to meet enduring government requirements while helping to seed a broader commercial space economy.

1.2 Corporate History

Intuitive Machines became a public company through a special-purpose acquisition company (SPAC) transaction. On September 16, 2022, Inflection Point Acquisition Corp. (“IPAX”) entered into a business combination agreement with Intuitive Machines, LLC. On February 10, 2023, IPAX domesticated as a Delaware corporation and was renamed “Intuitive Machines, Inc.”; through that domestication, Intuitive Machines, Inc. became a holding company whose principal assets are the common units of Intuitive Machines, LLC.

The Company has since expanded through acquisitions. On October 1, 2025, it completed the acquisition of KinetX, Inc. (“KinetX”) through a stock purchase agreement, acquiring all issued and outstanding capital stock. On January 13, 2026, it completed the acquisition of all issued and outstanding membership interests of Lanteris Space Holdings LLC (“Lanteris”). On August 3, 2026, it completed the acquisition of all issued and outstanding shares of Goonhilly Earth Station Limited and COMSAT LLC.

1.3 Workforce & Facilities

As of December 31, 2025, Intuitive Machines employed 525 people across its operations a figure that already included the staff added through its acquisition of KinetX on October 1, 2025. The Company’s subsequent acquisition of Lanteris substantially enlarged that base on a combined basis. Intuitive Machines employs approximately 1,695 people today.

The Company’s operations are distributed across facilities in the United States and the United Kingdom. Its anchor is the lunar operations and production center in Houston, Texas, complemented by a mechanisms and robotics facility in Glen Burnie, Maryland, and engineering and data-science offices in Phoenix, Arizona, among other locations. The acquisitions of KinetX in October 2025, Lanteris in January 2026, and Goonhilly Earth Station Limited and COMSAT LLC in August 2026 expanded the Company’s footprint with additional sites in Arizona, Colorado, California, the United Kingdom, and other U.S. locations, while significantly enhancing its workforce, engineering, manufacturing, communications, and space infrastructure capabilities. Across these locations, Intuitive Machines seeks to maintain working environments that support collaboration, mission assurance, and the disciplined execution required to deliver reliable space infrastructure solutions at scale.
